Engagement Scope
InkSpyre may provide remote staffing support, design support, operations assistance, web development, automation planning, AI workflow support, and related consulting services as described in an approved proposal, order form, or statement of work.
Client Responsibilities
The client is responsible for providing timely access to platforms, accurate business information, product data, brand guidelines, communication channels, project feedback, and any internal approvals needed for delivery.
Independent Contractor Relationship
InkSpyre and its personnel provide services as independent contractors unless a signed agreement states otherwise. Nothing in this summary creates an employment, partnership, franchise, joint venture, or agency relationship between the client and InkSpyre personnel.
Service Delivery
Services may be delivered remotely through assigned team members, project managers, designers, developers, or automation specialists. Timelines depend on scope, client readiness, third-party platform availability, and the quality of required inputs.
Fees and Payment
Fees, billing cadence, deposits, payment methods, late payment terms, and renewal terms should be stated in the applicable proposal or agreement. Unless otherwise stated, fees are due according to the invoice terms provided.
Taxes
Fees are generally exclusive of applicable federal, state, local, or other taxes unless stated otherwise. The client is responsible for taxes, duties, or similar charges imposed on services, excluding taxes based on InkSpyre's income.
Changes in Scope
Requests outside the agreed scope may require a separate estimate, change order, or revised timeline. InkSpyre may pause work until scope changes are approved in writing.
Confidentiality
Both parties should protect non-public business, customer, pricing, platform, credential, and operational information disclosed during the engagement. Confidential information should be used only for the purposes of delivering or receiving services.
Credential and Data Handling
The client should provide access using least-privilege permissions whenever possible. InkSpyre will not request credentials through public website content, and sensitive platform, email, hosting, or payment credentials should be shared only through approved secure channels.
Ownership and Work Product
Ownership of final deliverables should be defined in the signed agreement. Unless otherwise agreed, pre-existing tools, processes, templates, training materials, internal systems, and know-how remain the property of their original owner.
Third-Party Platforms
InkSpyre may work with platforms such as InkSoft, Printavo, SAGE, ASI, supplier systems, email platforms, analytics tools, and hosting services. Availability, API limits, fees, policy changes, and outages from third-party platforms are outside InkSpyre's control.
No Guaranteed Results
InkSpyre may provide benchmarks, targets, or projected operational outcomes, but actual results depend on client readiness, lead quality, market conditions, platform access, timely feedback, budget, and other factors outside InkSpyre's control. Any guarantee must be expressly stated in a signed agreement.
Compliance Responsibilities
Each party is responsible for complying with applicable US federal, state, and local laws related to its business operations, data, employment practices, marketing, taxes, and customer obligations. The client remains responsible for final approval of customer-facing pricing, claims, artwork, and order terms unless otherwise agreed.
Limitation of Liability
Any limitation of liability, exclusion of damages, indemnity obligation, and insurance requirement should be stated in the signed agreement. Generic website summaries do not replace negotiated contract terms.
Termination
Termination rights, notice periods, offboarding steps, final invoice obligations, data handoff, and transition support should be described in the signed agreement or statement of work.
Governing Law
Unless a signed agreement states otherwise, service terms are expected to be governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law rules.
